1. About us

This website is operated by Filipinos in the UK Ltd ("we", "us", "our"), a company registered in England & Wales. Company number: 17289665. Registered office: Suite RA01, 195-197 Wood Street, London, E17 3NU. You can contact us at filipinosintheuk@gmail.com.

2. Definitions

  • Website โ€” filipinosintheuk.co.uk and related subdomains.
  • User โ€” any person who accesses or uses the Website.
  • Account holder โ€” a User who has registered an account.
  • Advertiser โ€” a business that pays to list on our directory or social media.
  • Seller โ€” a business that lists products for sale via the Website.
  • Buyer โ€” a User who purchases a product listed by a Seller.
  • Content โ€” text, images, video and other material on the Website.

3. Acceptance of these terms

By accessing or using the Website, you confirm that you accept these terms and agree to comply with them. If you do not agree, you must not use the Website. We may amend these terms from time to time; the updated version will be posted on this page with a new "Last updated" date. Continued use of the Website after changes means you accept the updated terms.

4. Accounts

You must be at least 18 years old to create an account. You are responsible for keeping your login credentials confidential and for any activity carried out under your account. Please tell us immediately if you suspect unauthorised use of your account.

5. Acceptable use

You agree not to:

  • use the Website for any unlawful, fraudulent or harmful purpose;
  • post content that is defamatory, obscene, discriminatory, infringing or otherwise objectionable;
  • attempt to gain unauthorised access to any part of the Website, other accounts, or our systems;
  • scrape, copy, or otherwise extract data from the Website except as expressly permitted;
  • introduce viruses, malware or any other harmful code.

We may suspend or terminate your access if you breach these rules.

6. Business advertising service

Advertisers may purchase a listing on our directory and/or promotion on our social media channels for ยฃ3.99 per month, billed in advance on a rolling monthly basis.

  • You confirm that the information you provide about your business is accurate, lawful and that you have the right to use any images or trademarks submitted.
  • We may, at our discretion, refuse, edit or remove any listing that we consider unlawful, misleading, off-brand or otherwise unsuitable.
  • You may cancel your subscription at any time, which will stop future billing. Cancellation does not entitle you to a refund of any fees already paid (see section 8).

7. Product listings, our role as agent & sales

The Website hosts a shop where products supplied by third-party businesses ("Suppliers") are offered for sale. For every product, Filipinos in the UK Ltd acts as the disclosed commercial agent of the Supplier. This means:

  • The contract of sale for the goods is between you (the Buyer) and the Supplier of that product. The Supplier is identified on the product page and in your order confirmation email.
  • We collect payment from you on behalf of the Supplier, arrange for the order to be fulfilled by the Supplier, and act as your first point of contact for any query relating to the order.
  • The Supplier is responsible for stock, dispatch, delivery, product safety, accurate descriptions, after-sales support and compliance with the Consumer Rights Act 2015, Consumer Contracts Regulations 2013 and all other applicable law.
  • Product descriptions, images, sizes, materials and weights are provided by the Supplier. We take reasonable steps to check listings but do not warrant the accuracy or completeness of Supplier-provided information.

7a. Pricing, VAT & order acceptance

Prices shown on the Website are the total price payable, inclusive of VAT where applicable, in line with the Digital Markets, Competition and Consumers Act 2024. Any unavoidable delivery charge is shown before you complete checkout; we do not use drip pricing.

Placing an order is an offer to buy the product from the Supplier at the price shown. The contract is formed only when we (acting as the Supplier's agent) send you an order confirmation. We reserve the right to cancel and refund any order where:

  • the Supplier has withdrawn stock or is unable to fulfil;
  • the product was listed with an obvious pricing or description error;
  • we reasonably suspect fraud or misuse of the Website.

7b. Events listings

The Website includes an Events section that lists upcoming Filipino and Filipino-relevant events in the UK. Unless we expressly state otherwise, we are not the organiser of any event listed and we do not sell tickets.

  • Event details (date, time, venue, price, ticket availability) are provided by the organiser or sourced from publicly available channels and may change without notice. Please always verify with the official organiser before travelling.
  • If you submit an event for listing, you confirm that you are the organiser or otherwise authorised to share the information and images you provide, and that the event complies with applicable law.
  • We may, at our discretion, refuse, edit, postpone or remove any event listing โ€” including for inaccuracy, complaints, safety concerns or breach of these terms.
  • Any contract for entry, tickets, refunds, cancellation or attendance at an event is strictly between you and the organiser. We are not liable for cancelled, postponed, oversold or unsafe events, nor for any loss arising from your reliance on event information published on the Website.

8. Delivery, cancellation, returns & refunds

Delivery is arranged by the Supplier or their nominated carrier. Any delivery timescales shown are estimates only and we are not liable for Supplier or courier delays beyond arranging a refund where goods are not delivered within a reasonable time.

14-day right to cancel โ€” under the Consumer Contracts Regulations 2013, most consumers may cancel a distance purchase within 14 days of receiving the goods. This right does not apply to personalised goods, perishable goods, or hygiene-sealed goods once unsealed. To exercise it, email us at the address below and we will arrange the return on the Supplier's behalf.

Returns. Except where the goods are faulty, misdescribed or not as ordered, you are responsible for the cost of returning the goods. Returns are routed via us to the Supplier at the address we provide when you request the return; please do not send goods back to the address on the parcel. Refunds are issued within 14 days of the goods being received back or evidence of return being provided, whichever is earlier.

Advertising fees paid for directory listings or paid promotion are non-refundable once the listing has been published. You can cancel at any time to stop future payments โ€” see our Advertiser Terms.

8a. Complaints & alternative dispute resolution

If something has gone wrong with your order or your experience on the Website, please contact us first at filipinosintheuk@gmail.com and we will aim to acknowledge your complaint within 5 working days and resolve it within 30 days. We do not currently subscribe to a certified Alternative Dispute Resolution (ADR) provider, but you may be entitled to bring a claim in the courts of England and Wales, and UK consumers can also access the Citizens Advice consumer service.

9. Intellectual property

All Content on the Website, other than User-submitted Content, is owned by us or our licensors and is protected by intellectual property laws. By submitting Content (for example a business listing, image or review), you grant us a worldwide, non-exclusive, royalty-free licence to host, display, reproduce and promote that Content for the purposes of operating and marketing the Website and our services.

10. User-generated content

You are responsible for any Content you submit. You confirm that it is accurate, that you own it (or have the right to use it), and that it does not infringe any third party's rights or breach any law. We may remove User Content at any time without notice.

11. Availability of the Website

We aim to keep the Website available but do not guarantee uninterrupted access. We may suspend, withdraw or restrict the Website (or any feature) at any time for maintenance, updates or other operational reasons.

12. Limitation of liability

Nothing in these terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited by English law.

Subject to the above, we will not be liable to you for any:

  • loss of profit, sales, business or revenue;
  • loss of goodwill or reputation;
  • loss of anticipated savings;
  • loss or corruption of data;
  • indirect or consequential loss.

Our total liability to you in connection with the Website, however arising, will not exceed the greater of (a) ยฃ100 or (b) the total fees you have paid to us in the 12 months preceding the event giving rise to the claim.

13. Indemnity

You agree to indemnify us against any losses, damages, costs and expenses (including reasonable legal fees) arising out of any claim by a third party resulting from your breach of these terms, your misuse of the Website, or any Content you submit.

14. Termination

We may suspend or terminate your account or access to the Website at any time if we reasonably believe you have breached these terms. You may close your account at any time by contacting us.

15. Governing law & jurisdiction

These terms are governed by the laws of England and Wales. Any dispute arising in connection with them is subject to the exclusive jurisdiction of the courts of England and Wales.

PART B โ€” SUPPLIER TERMS

B2B agreement between Filipinos in the UK Ltd and product suppliers.

This Part B applies to any business ("Supplier") whose products are listed for sale in the Filipinos in the UK shop. It forms a binding B2B agreement between the Supplier and Filipinos in the UK Ltd when the Supplier accepts it in writing or by conduct (for example by supplying goods against an order placed via the Website). It is provided as a starting point and does not constitute legal advice.

B1. Appointment as commercial agent

The Supplier appoints Filipinos in the UK Ltd as its non-exclusive disclosed commercial agent to market the agreed products on the Website, receive customer orders and collect payment from customers on the Supplier's behalf. The contract of sale for each product is between the customer and the Supplier; the Supplier is the seller of record.

B2. Commission

The commission rate payable to us on each customer order is agreed individually with each Supplier in writing (by email or signed document) before that Supplier's products go live. Commission is calculated on the gross order value including any delivery charge and VAT.

B3. Payment & remittance

  • We collect customer payment at checkout and remit to the Supplier the gross order value net of our commission and any refunds or chargebacks.
  • Remittance is made within 14 days of the Supplier confirming dispatch of the order, unless otherwise agreed in writing.
  • We may withhold amounts reasonably required to cover pending refunds, returns, chargebacks or customer complaints for a further 30 days.
  • The Supplier is responsible for its own tax reporting and, where registered, for issuing a VAT invoice to the customer.

B4. Stock, dispatch & fulfilment

The Supplier will:

  • maintain sufficient stock of listed products and notify us promptly if a product becomes unavailable;
  • dispatch orders within the agreed service level (default: 3 working days from order confirmation);
  • provide the customer and us with tracking information where available;
  • package goods appropriately and comply with all applicable carrier requirements.

B5. Product warranties & safety

The Supplier warrants that all products listed and supplied:

  • are of satisfactory quality, fit for purpose and as described;
  • comply with the General Product Safety Regulations and all other applicable UK product safety, labelling and consumer protection law;
  • can lawfully be sold and imported into the United Kingdom;
  • do not infringe any third-party intellectual property or other rights.

B6. Indemnity

The Supplier agrees to indemnify us on demand against any losses, damages, fines, costs and expenses (including reasonable legal fees) arising out of: (a) any claim by a customer relating to goods supplied by the Supplier; (b) product liability claims; (c) infringement of any third-party intellectual property or other rights in the Supplier's products or content; and (d) any regulatory or enforcement action arising from the Supplier's products or conduct.

B7. Intellectual property licence

The Supplier grants us a worldwide, non-exclusive, royalty-free licence for the term of this agreement to use the Supplier's trade marks, product names, product images, descriptions and other submitted content for the purposes of listing, marketing and promoting the products on the Website, in email communications, and on our social media channels. The Supplier warrants that it owns or is licensed to use everything it submits.

B8. Non-circumvention

The Supplier acknowledges that customers introduced to it through the Website are platform customers. For a period of 6 months after such a customer's first order, the Supplier will not solicit or knowingly accept an off-platform order from that customer for the same or similar goods where the purpose is to avoid our commission.

B9. Refunds, returns & complaints

The Supplier will honour the customer's statutory rights under the Consumer Rights Act 2015 and Consumer Contracts Regulations 2013. We will act as first point of contact for the customer and coordinate returns and refunds with the Supplier. The Supplier is liable for the cost of refunds and return handling for goods it supplied.

B10. Suspension & termination

  • Either party may terminate this agreement on 30 days' written notice.
  • We may suspend or remove any product, or terminate this agreement immediately, if the Supplier breaches these terms, receives repeated customer complaints, or brings our platform into disrepute.
  • On termination the Supplier will fulfil any orders already accepted and we will remit any commission-free balance due.

B11. Data protection

For the limited purpose of order fulfilment we share the customer's name, delivery address and contact details with the Supplier. Each party is a separate controller of the personal data it holds and will comply with the UK GDPR and Data Protection Act 2018. The Supplier will not use customer data for marketing without the customer's separate consent.

B12. Liability (B2B)

Nothing in Part B limits liability for death or personal injury caused by negligence, fraud or any other liability that cannot be limited by law. Subject to that, our total liability to the Supplier in any 12-month period is capped at the total commission we have retained from that Supplier in the preceding 12 months. Neither party is liable to the other for indirect or consequential loss, loss of profit, or loss of goodwill.

B13. Governing law

Part B is governed by the laws of England and Wales and is subject to the exclusive jurisdiction of the English courts.
